In these terms and conditions, the following definitions apply:

  • Trader: LateNight B.V.
  • Customer: any natural person or legal entity that enters into a contract with the Trader.
  • Consumer (B2C): a Customer acting for purposes outside their trade, business or profession.
  • Business customer (B2B): a Customer acting in the course of their profession or business.
  • Webshop: the Trader's online sales environment.
  • Contract: any contract concluded via the Webshop.
  • Product: any item offered via the Webshop.
  • Withdrawal period: the period within which the Consumer can exercise their right of withdrawal.

Article 3 – Applicability

These terms and conditions apply to all offers, orders and Contracts via the Webshop. The text of these terms and conditions is available via the Webshop before the Contract is concluded and can be saved and printed.

Deviations from these terms and conditions are only valid if they have been expressly confirmed by the Trader in writing or electronically.

The Customer's general (purchasing) terms and conditions are expressly rejected.

For Business customers, the provisions in the B2B Chapter also apply. In the event of conflict, the B2B Chapter prevails.

Article 4 – The offer

All offers are without obligation, unless expressly stated otherwise.

Product descriptions are compiled with the utmost care.

Images and colours are for illustrative purposes; the product, packaging or shade may differ due to batch variations or screen settings.

Obvious mistakes, typing errors or other obvious errors are not binding on the Trader.

The Trader reserves the right to change the product range and to declare Products (temporarily) unavailable.

Article 5 – Prices and shipping costs

All prices are stated in euros. For Consumers, prices include VAT. For Business customers, VAT is stated separately where applicable.

The price applicable at the time of ordering is binding for that order. Price changes only apply to future orders.

The following shipping costs per order apply to Consumers:

  • the Netherlands: €5.95; free shipping from €50.
  • Belgium: €6.95; free shipping from €60.
  • Luxembourg: €7.95; free shipping from €70.
  • Germany: €12.95; free shipping from €90.

The shipping costs are shown during checkout before the order is finally placed. More information can be found in our shipping policy.

Article 6 – Conclusion of the contract

The Contract is concluded at the moment the Customer completes the order and the Trader confirms the order electronically. The Trader confirms receipt of the order by e-mail without delay.

The Trader reserves the right to refuse an order or to impose additional conditions, including in the event of:

  • incorrect or incomplete details;
  • suspected fraud or misuse;
  • (temporary) unavailability of Products;
  • repeated unreasonable return or claim behaviour.

If the Trader refuses an order that has already been paid for, the amount paid will be refunded without delay.

Article 7 – Cancellation within one hour

The Customer can cancel an order themselves via their customer account within one hour of placing it, as long as the order has not yet been processed or shipped. The amount paid will then be refunded in full. In addition, the Consumer's statutory right of withdrawal (article 11) remains fully applicable.

Article 8 – Payment

Payment is made in full in advance using the payment methods offered during checkout.

No delivery takes place until full payment has been received.

In the event of reversed payments or chargebacks, the Trader is entitled to suspend performance or to terminate the Contract, to the extent permitted by law.

Article 9 – Delivery (B2C)

Delivery takes place from the Netherlands via PostNL, DHL or another carrier chosen by the Trader, to the address provided by the Customer or, if that option is offered and chosen at checkout, to a pick-up point.

Estimated delivery times after shipment:

  • the Netherlands: usually 1–2 business days;
  • Belgium: usually 1–3 business days;
  • Luxembourg: usually 2–4 business days;
  • Germany: usually 3–5 business days.

Stated delivery times are estimates. The Trader will in any event deliver within 30 days of the order, unless otherwise agreed. If this is not possible, the Consumer will be informed and has the right to terminate the Contract free of charge; any amounts already paid will then be refunded without delay.

For Consumers, the risk of loss or damage passes at the moment of actual delivery to the Consumer or to a third party other than the carrier designated by the Consumer.

Article 10 – Damage, loss and investigation (B2C)

The Consumer is requested to inspect the Product as soon as possible after receipt and to report visible damage, missing or incorrectly delivered Products preferably within 5 days of receipt via support@saponeditoscana.nl. This period does not limit the Consumer's statutory rights.

The Trader is the first point of contact with the carrier and will initiate an investigation if necessary. Depending on the outcome, the Product will be replaced or delivered again, or the purchase amount will be refunded.

Article 11 – Right of withdrawal (B2C)

The Consumer has the right to withdraw from the Contract within 14 days without giving any reason. The withdrawal period starts on the day after the Consumer, or a third party other than the carrier designated by the Consumer, has received the (last) Product.

The Consumer must notify the withdrawal unequivocally within the withdrawal period, for example by e-mail or using the model withdrawal form included in our returns and withdrawal policy, and must return the Product no later than 14 days after the notification of withdrawal.

During the withdrawal period, the Consumer will handle the Product with care and will only unpack or use it to the extent necessary to establish its nature, characteristics and functioning. If the Consumer goes further than this, they are liable for the diminished value of the Product.

The Trader's Products are not sealed. Opening a bottle therefore does not cause the right of withdrawal to lapse; the statutory exception for sealed products does not apply. In the event of use going beyond what is necessary to establish the nature, characteristics and functioning of the Product, the right of withdrawal remains and only the liability for diminished value as described above applies.

The full procedure is set out in our returns and withdrawal policy.

Article 12 – Return costs and refund (B2C)

The direct costs of returning are borne by the Consumer, unless the Product is damaged, defective or was delivered incorrectly.

The Trader will refund all payments received from the Consumer in respect of the withdrawn Products, including the standard costs of the original delivery if the entire order is withdrawn, no later than 14 days after the day on which the withdrawal was received. Additional costs for a more expensive type of delivery expressly chosen by the Consumer instead of the least expensive standard delivery will not be refunded.

The Trader may withhold the refund until the Product has been received or the Consumer has supplied evidence that the Product has been sent back, whichever is the earliest. Any diminished value (article 11) will be deducted from the refund.

The refund is made using the same means of payment that was used for the payment, unless the Consumer expressly agrees to a different method.

Article 13 – Conformity and guarantee (B2C)

The Trader warrants that the Product conforms to the Contract, the specifications stated in the offer and the reasonable requirements of soundness and usability.

In the event of non-conformity, the Consumer is entitled to repair or replacement, or – if that is not possible or reasonable – a price reduction or termination, in accordance with the law. The Consumer must report a defect within a reasonable time after discovering it; a notification within two months of discovery is in any event timely.

Article 14 – Complaints procedure

Complaints can be submitted via the contact form or by e-mail to support@saponeditoscana.nl.

The Trader will acknowledge a complaint as soon as possible and deal with it substantively within 14 days at the latest. If handling the complaint requires more time, the Trader will notify the Customer within that period, with an indication of when the Customer can expect a response.

Article 15 – Liability (general)

The Trader is not liable for damage resulting from use of Products contrary to the instructions for use or labelling.

To the extent permitted by law, the Trader's liability is limited to direct damage and to a maximum of the invoice amount of the Product concerned. Liability for indirect damage, consequential damage, loss of profit or reputational damage is excluded, unless such exclusion is not permitted by law.

Nothing in these terms and conditions limits liability that cannot be excluded or limited under mandatory law, including liability for intent or deliberate recklessness and the statutory rights of Consumers.

Article 16 – Force majeure

The Trader is not obliged to perform in the event of force majeure, including: malfunctions, carrier problems, pandemics, government measures, strikes, fire or supplier failure.

If the force majeure lasts longer than 30 days, both parties have the right to terminate the Contract. Any amounts already paid by the Consumer for Products not delivered will then be refunded.

Article 17 – Intellectual property and reviews

All intellectual property rights relating to the Webshop, content, images and Product presentations are held by the Trader or its licensors. Use or reproduction is not permitted without prior written consent.

Reviews are only published if they come from real customers. The Trader may use reviews that a Customer has submitted with consent for publication on the Webshop and in its own communications, in which case personal data are limited to a first name and the initial of the surname.

Article 18 – Privacy and personal data

The Trader processes personal data in accordance with the General Data Protection Regulation (GDPR). Information on processing purposes, legal bases, retention periods, processors and data subjects' rights can be found in the privacy policy on the website.

For privacy questions, please contact info@saponeditoscana.nl.

Article 19 – Applicable law and disputes

All Contracts are governed by Dutch law. For Consumers whose habitual residence is in another country, this choice of law does not affect the protection they enjoy under the mandatory provisions of the law of their country.

Disputes will be submitted to the competent court in the district where the Trader is established, unless mandatory law provides otherwise. A Consumer may always turn to the court that has jurisdiction under the law.

B2B CHAPTER – BUSINESS CUSTOMERS

Article 20 – Applicability B2B

This chapter applies exclusively to Business customers. The right of withdrawal is excluded for Business customers.

Article 21 – Orders and delivery (B2B)

  • The minimum order value is €150.
  • Delivery costs are €70, unless otherwise agreed.
  • Free delivery applies from €750.
  • Delivery takes place via carriers or in-house delivery.

Article 22 – Risk and complaints (B2B)

The risk of loss or damage passes to the Business customer upon shipment or handover to the carrier.

Discrepancies or damage must be reported in writing within 48 hours of receipt. If reported in time, the Product will be replaced; no refund will be given, unless otherwise agreed in writing.

Article 23 – Liability (B2B)

Liability is limited to the invoice amount of the Product concerned. Indirect damage and consequential damage are excluded.

Article 24 – Final provisions

If one or more provisions of these terms and conditions prove to be wholly or partially null and void or voidable, the remaining provisions will remain fully in force. The parties will replace the invalid provision with a provision that approximates its content and purpose as closely as possible.

LateNight B.V. is entitled to amend these terms and conditions. Amended terms and conditions only apply to future contracts.

The most up-to-date version of these terms and conditions is always available via the website and applies from the moment of publication.
